1. Acceptance of Terms

By accessing or using the Renova platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. We may update these Terms at any time; continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements. By creating an account, you represent that all information provided is truthful and accurate.

3. Account Types

Renova offers two account types: Customers (who post job listings) and Contractors (who browse and purchase access to job leads). You are responsible for maintaining the security of your login credentials.

4. Service Description

Renova is a marketplace that connects homeowners with contractors. We do not employ contractors, perform work, or guarantee outcomes. All arrangements between Customers and Contractors are independent agreements between those parties.

5. Credits, Payments & Pricing

Contractors may purchase credits to unlock job leads. Credits are non-refundable except where required by applicable law. All purchases are final at the price displayed at the time of the transaction.

Prices are subject to change. Renova reserves the right to modify, increase, or otherwise adjust the price of credits, subscription plans, or any other fees at any time, with or without prior notice. Price changes will not affect credits or subscriptions already purchased prior to the effective date of the change, but will apply to all future purchases made after that date.

By continuing to use the Service after a price change takes effect, you agree to the updated pricing. If you do not agree to the new pricing, you may discontinue use of the Service at any time.

6. User Conduct

You agree not to:

• Post false, misleading, or fraudulent information
• Use the Service for any unlawful purpose
• Impersonate any person or entity
• Scrape, crawl, or use automation to access the Service
• Harass, threaten, or intimidate other users

7. Content Ownership

You retain ownership of content you post. By submitting content to Renova, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RENOVA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

YOU ACKNOWLEDGE AND AGREE THAT RENOVA ACTS SOLELY AS A PLATFORM TO CONNECT CUSTOMERS AND CONTRACTORS. RENOVA DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR TIMELINESS OF WORK PERFORMED BY ANY CONTRACTOR, NOR THE ACCURACY OF ANY JOB LISTING POSTED BY ANY CUSTOMER. ANY DISPUTES ARISING FROM WORK PERFORMED, PAYMENTS MADE, OR SERVICES RENDERED ARE STRICTLY BETWEEN THE CUSTOMER AND THE CONTRACTOR. IN NO EVENT SHALL RENOVA'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO RENOVA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

9. Indemnification

You agree to defend, indemnify, and hold harmless Renova and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

10. Binding Arbitration & Class Action Waiver

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES. YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

By agreeing to these Terms, you acknowledge that you are waiving your right to a trial by jury and your right to participate in a class action. This arbitration provision shall survive termination of your account and these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Termination

We may suspend or terminate your account at our sole discretion, with or without notice, for any reason. Upon termination, your right to use the Service ceases immediately. Sections 8, 9, and 10 shall survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
